Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into on 28 August 2026 between [Disclosing Party] and [Receiving Party] (each a "Party"), for the purpose of evaluating a potential business relationship.

Confidential Information means any non-public information disclosed by either Party to the other, whether oral, written or electronic, that is marked or would reasonably be understood to be confidential.
The Receiving Party shall use the Confidential Information solely for the stated purpose and shall protect it with at least the same care it uses for its own confidential information.
Confidential Information does not include information that is or becomes public through no fault of the Receiving Party, was known prior to disclosure, or is independently developed.
This Agreement shall remain in effect and the confidentiality obligations shall survive for 3 year(s) from the date of disclosure.
Upon request, the Receiving Party shall return or destroy all Confidential Information. No licence or rights are granted except as expressly stated.
This Agreement shall be governed by the laws of India.
